1️⃣ Introduction
Welcome to Digiline Cloud (Pvt) Ltd! These Terms & Conditions govern your use of our website (digiline.lk) and the services we provide, including web development, SEO, digital marketing, social media management, graphic design, and commercial photography/videography.
By accessing our website or using our services, you agree to these terms. If you do not agree, please discontinue use.
2️⃣ Definitions
- “Company,” “We,” “Us,” or “Our” refers to Digiline Cloud (Pvt) Ltd.
- “Client,” “You,” or “Your” refers to any individual, company, or entity using our services.
- “Services” include web development, SEO, digital marketing, social media management, branding, and related digital solutions.
- “Agreement” refers to these Terms & Conditions.
3️⃣ Services & Scope of Work
📌 Digiline Cloud provides the following digital services:
✅ Web Design & Development – Custom-built websites tailored to your business needs.
✅ Search Engine Optimization (SEO) – Strategies to improve rankings and traffic.
✅ Social Media Management – Content creation, advertising, and audience engagement.
✅ Graphic Design & Branding – Logos, marketing materials, and digital assets.
✅ Commercial Photography & Videography – Professional visuals for marketing campaigns.
📌 Project Deliverables & Timelines
- All project timelines are estimated and subject to revisions based on client requirements.
- We are not responsible for delays caused by late content submission or third-party approvals.
📌 Client Responsibilities
- Clients must provide all necessary content, branding materials, and access credentials required to complete the project.
- Clients must review and approve deliverables within agreed timelines to avoid delays.
📌 Revisions & Modifications
- Each service includes limited rounds of revisions (as stated in the service agreement).
- Additional revisions or changes outside the agreed scope may be subject to extra charges.
4️⃣ Payments & Pricing
📌 Payment Terms
- All services are billed upfront or according to the agreed project milestones.
- Website development projects require a 50% upfront deposit, with the balance due upon completion.
- SEO, social media, and ongoing services may be billed monthly or quarterly.
📌 Late Payments & Non-Payment
- Failure to make timely payments may result in service suspension or project termination.
- Late payments may incur a penalty fee of 5% per month on the overdue balance.
📌 Refund Policy
- Refunds are not provided for services already rendered.
- If a project is canceled before work begins, a partial refund may be issued (minus administrative fees).
- SEO and digital marketing services are non-refundable due to the nature of the work.
📌 Currency & Taxation
- All payments must be made in Sri Lankan Rupees (LKR) or USD (for international clients).
- Prices are exclusive of government taxes, which may apply depending on the service.
5️⃣ Intellectual Property & Ownership
📌 Website & Design Ownership
- Upon full payment, clients receive full rights to the final website and design assets.
- We may use project work in our portfolio for promotional purposes unless otherwise agreed.
📌 Third-Party Licenses
- If the project includes licensed software, stock images, or third-party plugins, ownership remains with the respective provider.
📌 SEO & Digital Marketing Content
- SEO and marketing content created for the client remains the property of Digiline Cloud until full payment is made.
6️⃣ Service Warranties & Disclaimers
📌 Website Development & Performance
- We guarantee that all websites will be developed according to industry standards.
- However, we do not guarantee specific SEO rankings, traffic increases, or conversion rates.
📌 SEO & Digital Marketing Results
- SEO and digital marketing results depend on various external factors (Google algorithms, competition, market changes, etc.).
- We cannot guarantee immediate results, but we follow best practices to achieve growth over time.
📌 Liability Limitations
- Digiline Cloud is not liable for any loss of revenue, damages, or technical failures resulting from third-party platforms (Google, social media, hosting providers).
- We do not provide legal compliance services—clients must ensure their website meets GDPR, CCPA, or local data protection laws.
7️⃣ Confidentiality & Data Protection
📌 Client Data & Security
- We will not share or sell client data, login credentials, or sensitive information with third parties.
- All data is stored securely and accessed only by authorized personnel.
📌 NDA & Confidentiality Agreements
- If required, a Non-Disclosure Agreement (NDA) can be signed for confidential projects.
8️⃣ Termination of Services
📌 Mutual Termination
- Either party may terminate the contract with written notice of at least 14 days.
📌 Service Suspension
- Digiline Cloud reserves the right to suspend services due to non-payment, breach of contract, or inappropriate behavior.
📌 No Refund Upon Termination
- If the client terminates the contract, all payments made are non-refundable.
9️⃣ Governing Law & Dispute Resolution
📌 Legal Jurisdiction
- These Terms & Conditions are governed by the laws of Sri Lanka.
📌 Dispute Resolution
- Any disputes shall first be resolved amicably. If unresolved, the matter may be taken to arbitration in Sri Lanka.
🔟 Changes to These Terms & Conditions
Digiline Cloud reserves the right to update these Terms & Conditions. Any changes will be posted on this page, and continued use of services constitutes acceptance of the updated terms.
